RUBIS TERMINAL SHOULD TAKE SHARES IN ZELLER

On August 30, 2017, Rubis Terminal signed a share purchase agreement with Shell (Shell Deutschland Oil GmbH) for the acquisition of 50% of the share capital of Zeller Sarl (RCS Strasbourg n ° 702 006 297) with registered office at 8 rue Ellenhard – 67 000 Strasbourg – France.

Rubis Terminal was informed on September 20, 2017, in the evening, that this transfer project had been approved by P66 Central Europe Inc., a company registered in the State of Delaware (United States), which owns the second half of the share capital of Zeller Sarl.

The effective acquisition of the shares representing 50% of the share capital of Zeller Sarl remains subject to the approval of the European Commission to which the agreement signed with Shell will be notified during the month of October.

Zeller has been working in the distribution of petroleum products (mainly heating oil, fuels and bitumen) for over 40 years, and is operating in the North-East of France. It holds interests in the Société Européenne de Stockage and in Wagram Terminal, companies which operate petroleum storage terminals in the Strasbourg area, and which are majority owned by Rubis Terminal.

Zeller employs 12 persons. For the financial year 2016, its turnover is €112,361,252 and its net profit is €605,340.

This acquisition is part of the development of Rubis Terminal’s trading and distribution division marked by the creation of CPA SNC in 2014.
